1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legal agreement between you and Precision Dialysis Solutions ("Company," "we," "our," or "us") regarding your use of the Dial-Assist mobile application ("App").

By downloading, installing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Medical Disclaimer and Intended Use

2.2 Not Medical Advice

The App does NOT:

• Provide medical advice, diagnosis, or treatment recommendations
• Replace professional medical care or your healthcare provider's instructions
• Monitor your medical condition or vital signs
• Alert emergency services or healthcare providers

2.3 Healthcare Provider Consultation Required

You must:

• Always follow your healthcare provider's prescribed treatment plan
• Consult with your healthcare provider before making any changes to your treatment
• Contact your healthcare provider or emergency services immediately in case of medical emergencies
• Verify all information entered into the App with your healthcare team

3. License and Use Restrictions

3.1 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use.

3.2 Restrictions

You may not:

• Modify, reverse engineer, decompile, or disassemble the App
• Remove or alter any copyright, trademark, or proprietary notices
• Use the App for any illegal or unauthorized purpose
• Distribute, sell, lease, or sublicense the App to third parties
• Use the App in any manner that could damage, disable, or impair the App
• Attempt to gain unauthorized access to any portion of the App

4. User Responsibilities

4.1 Accurate Information

You are responsible for:

• Ensuring all information you enter into the App is accurate and complete
• Updating information when it changes
• Maintaining the confidentiality of your device and App data
• All activities that occur through your use of the App

4.2 Proper Use

You agree to use the App only:

• For tracking your own dialysis treatment adherence
• In accordance with your healthcare provider's instructions
• In compliance with all applicable laws and regulations

5.2 Your Data Responsibilities

You are responsible for:

• Backing up your device data (via iCloud or other means)
• Maintaining the security of your device
• Understanding that deleting the App will delete all locally stored data

6. Intellectual Property

The App, including all content, features, and functionality, is owned by Precision Dialysis Solutions and is protected by United States and international copyright, trademark, and other intellectual property laws.

The Dial-Assist name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Precision Dialysis Solutions. You may not use such marks without our prior written permission.

7. Third-Party Services

7.1 FDA GUDID Database

The App may access the FDA's Global Unique Device Identification Database (GUDID) for medical device information. We are not responsible for the accuracy or availability of third-party databases.

7.2 Apple Services

The App uses Apple's native services (speech recognition, camera, etc.). Your use of these services is subject to Apple's terms and conditions.

8. Disclaimers and Limitation of Liability

8.1 "As Is" Basis

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Warranty

We do not warrant that:

• The App will be uninterrupted, timely, secure, or error-free
• The results obtained from using the App will be accurate or reliable
• Any errors in the App will be corrected
• The App will meet your specific requirements

8.3 Limitation of Liability

9. Indemnification

You agree to indemnify, defend, and hold harmless Precision Dialysis Solutions and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

10. Updates and Modifications

10.1 App Updates

We may release updates, upgrades, or new versions of the App from time to time. You may be required to update the App to continue using it.

10.2 Terms Updates

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date
• Providing in-app notification for significant changes

Your continued use of the App after changes constitutes acceptance of the updated Terms.

11. Termination

11.1 Your Right to Terminate

You may stop using the App at any time by deleting it from your device.

11.2 Our Right to Terminate

We reserve the right to suspend or terminate your access to the App at any time, without notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users, us, or third parties
• Violates applicable laws or regulations

12. Geographic Restrictions

The App is intended for use in the United States. We make no claims that the App is accessible or appropriate for use outside of the United States. If you access the App from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

13. Apple-Specific Terms

If you downloaded the App from the Apple App Store, you acknowledge and agree that:

• These Terms are between you and Precision Dialysis Solutions, not Apple
• Apple has no obligation to provide maintenance or support services
• Apple is not responsible for any product liability claims
• Apple is not responsible for addressing any claims relating to the App
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms

14. Governing Law and Disputes

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.

14.2 Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except where prohibited by law.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Precision Dialysis Solutions regarding the App and supersede all prior agreements and understandings.
